Speaker Bureau
Terms of Business
Unless otherwise agreed to in writing between the Australian Special Air Service Association (Victoria Branch) Inc (“ASASA Speaker Bureau”) and the Client (meaning a person, company or other legal entity receiving services from the ASASA Speaker Bureau), the following Terms of Business apply to keynote speaking engagements, presentations and workshops (“Presentations”) delivered by the ASASA Speaker Bureau.
1. Content and Presentation
The Speaker will deliver a Presentation based on agreed-upon topics and themes. The content will be prepared to the best of the Speaker’s abilities and expertise.
2. Engagement
The Speaker will be available for the duration specified in the agreement for the speaking engagement, including the Presentation, Q&A sessions, and any agreed-upon additional activities.
3. Requests for Changes
Requests for changes, including but not limited to, the time, date, location, and content of the Presentation, must be made in writing to the ASASA Speaker Bureau and/or the Speaker.
4. Number of Attendees
Generally there is no limit on the number of attendees for a Presentation.
A maximum number of attendees may apply when a workshop is to be delivered in conjunction with a Presentation. The maximum number of attendees is to be mutually agreed upon in this situation.
5. Injuries, Illness or Special Needs
Where relevant, the Client is to inform the Speaker of participants with injuries, illness or special needs prior to the commencement of a Presentation.
6. In Person (On Site) Presentations
When a Presentation is to be delivered in person / on site:
a. the Client is to provide the venue and facilities;
b. the Client is to provide and setup the audio visual equipment for the Presentation;
c. the Speaker is to supply their own laptop; and
d. the Speaker is to supply their own presenter (to advance the slides) if required.
7. Online Presentations
When a Presentation is to be delivered online as a webinar:
a. the Client is to provide the online platform for the webinar (e.g., MS Teams, Zoom, etc); and
b. the Speaker is to supply their own laptop.
7. Travel and Accommodation
Any travel and accommodation arrangements are to be agreed upon in advance and are the responsibility of the Client unless otherwise specified in the agreement.
The costs of travel and accommodation are in addition to the fee for the Speaker.
8. Intellectual Property
All intellectual property rights associated with the Presentation and any accompanying materials remain the property of the Speaker.
Whenever the ASASA Speaker Bureau or the Speaker provides Presentation notes to the Client in electronic format in order for the Client to print the presentation notes for each attendee, the Client is authorised to print no more than the number of copies specified by the ASASA Speaker Bureau or the Speaker of each authorised document.
The Client shall be entitled to use documents or information copyrighted by the Speaker and/or the ASASA Speaker Bureau for the purposes of the Presentation by way of a non-exclusive licence, subject to payment in full of all sums payable.
Use of materials beyond the agreed-upon event requires explicit written permission.
10. Copyright
The Speaker reserves all rights in respect of copyright over their documents and information.
The ASASA Speaker Bureau reserves all rights in respect of copyright over its documents and information.
11. Recording of Presentations
Recording of a Presentation without the prior written consent of the Speaker or the ASASA Speaker Bureau is strictly forbidden. This restriction includes, but is not limited to, the use of audio and/or video devices and applies to in person and online Presentations.
12. Quotes
Quotes are valid for thirty days.
13. Guaranteed Booking
Your booking may be subject to availability, and is only guaranteed upon receipt of payment in full.
14. Payment Due Date
Payment is due no later than fourteen days prior to the date of the Presentation unless otherwise specified on the invoice.
Where payment has not been received by the Payment Due Date, the ASASA Speaker Bureau reserves the right to suspend delivery of the Presentation until payment has been received.
15. Cancellation
With our standard cancellation terms, if you cancel a Presentation in advance of the date of the Presentation:
28 days to 14 days50% cancellation fee
Less than 14 days100% cancellation fee
If you cancel the Presentation more than twenty-eight calendar days prior to the date of the Presentation, you will not incur a cancellation fee.
If you cancel the Presentation twenty-eight or less calendar days prior to the date of the Presentation and more than fourteen calendar days prior to the date of the Presentation, you agree to pay a cancellation fee that is fifty per cent of the fee for that Presentation.
If you cancel the Presentation fourteen or less calendar days prior to the date of the Presentation, you agree to pay a cancellation fee that is one hundred per cent of the fee for that Presentation.
Cancellation fees are due no later than fourteen days from the time of cancellation.
No services are due in the event of a cancellation.
16. Overdue Payments
The ASASA Speaker Bureau reserves the right to impose a late payment fee of 15% p.a. calculated on the daily outstanding balance of overdue payments.
17. Refunds
In the event of a cancellation, you may:
a. request a refund of the applicable amount. Such a request must be received by the ASASA Speaker Bureau within twelve (12) months from the date the money was received by the ASASA Speaker Bureau;
b. request the applicable amount be held by the ASASA Speaker Bureau and applied to future services to be provided by the ASASA Speaker Bureau to you. The date the services are to be provided must be within twelve (12) months from the date the money was received by the ASASA Speaker Bureau; or
c. where you have requested the applicable amount to be held by the ASASA Speaker Bureau, you may later request a refund provided that amount has not been applied to another invoice and the request must be received by the ASASA Speaker Bureau within twelve (12) months from the date the money was received by the ASASA Speaker Bureau.
Payment of refunds will be made within fourteen calendar days of receiving your request.
18. Liability
While the Speaker will make every effort to deliver insightful and engaging content, outcomes and audience reactions may vary. The Speaker and the ASASA Speaker Bureau cannot be held liable for any dissatisfaction with the content or presentation style.
19. Disclaimer
The ASASA Speaker Bureau and the Speaker provide no warranties or representations, express or implied, regarding the content of the Presentation, including its accuracy, completeness, or suitability for any purpose. The opinions expressed by the Speaker are their own and do not necessarily reflect the views of the Client.
20. Indemnity
To the extent permitted by law, the Client releases the ASASA Speaker Bureau and the Speaker from, and must indemnify the ASASA Speaker Bureau and the Speaker against, any Loss, Claim, or Liability including but not limited to property damage, personal injury or death, brought against, incurred or suffered by the ASASA Speaker Bureau and/or the Speaker arising directly or indirectly in connection with the provision of the services by the ASASA Speaker Bureau except to the extent that the relevant Loss, Claim or Liability is caused by or contributed to by the negligence of the ASASA Speaker Bureau and/or the Speaker in providing the services and in any event the entire liability of the ASASA Speaker Bureau and the Speaker under or in connection with these Terms of Business shall not exceed 100% of the amount of the ASASA Speaker Bureau’s charges for the provision of the services.
Under no circumstances is the ASASA Speaker Bureau or the Speaker liable for any special, indirect, incidental, consequential or economic Loss (including loss of profits, revenue, savings, opportunity or goodwill), even if the possibility of such a Loss being suffered has been brought to the attention of the ASASA Speaker Bureau and/or the Speaker.
21. Modification of Terms
These terms are subject to change without notice at the sole discretion of the ASASA Speaker Bureau.
Modifications requested by the Client to these terms are subject to written agreement signed by the ASASA Speaker Bureau and the Client.
22. Acknowledgement and Acceptance of these Terms
By submitting a booking or by making payment to the ASASA Speaker Bureau, the Client acknowledges and agrees to be bound by these Terms.
