ASASA (Victorian Branch) Special General Meeting

To Vote On Amendments to The ASASA National Constitution

Details:

In accordance with the the Victorian Branch constitution, a ASASA (VIC) Special General Meeting has been called for all members of ASASA (VIC) to vote on the amendment to the Constitution of the Australian Special Air Service National Branch.

The meeting will be held in person in the Committee Room at the Caulfield RSL and will also be broadcast via Zoom for those who cannot attend.

The Special General Meeting is followed by a casual dinner for those who are able to stay on.  

Background:

The new body (Australian Special Air Service Association Company) will be a federal body and is in effect an Association of Member Associations per Section 12.1. Individual persons will be members of state branches and branches will be members of the national body. In practice this will be the State President of each branch, as a minimum.

Attention is drawn to section 12.3 which spells out the expectations of individual State Branches who become members. Joining the national body will require State Branches to amend their own Constitutions to reflect Clause 12.3. In particular standard rules for individual membership are needed and these have been drafted based on WA Branch rules but to reflect the modern construct of the Regiment.

Members should note definitions, voting rules and quorum requirements.

Members should note the membership and functions of the Board and Directors.

Who:

All members of the ASASA (VIC) are strongly encouraged to attend the ASASA (Victorian Branch) Special General Meeting either in person or via Zoom.

If a member cannot attend, the member is to submit a Proxy Voting Form (see below) prior to the Special General Meeting.

Timings / Agenda:

1530 Meet and greet.
1600 Special General Meeting Commences.
1600 Roll Call
1610  Proxy vote submission closing, Quorum establishment.
1615  Review of the critical areas of the National Constitution.
1645  Questions
1700  Voting
1705  Conclusion
1710  Special General Meeting Closes (approx.).

For those who are able to stay on:

1730 Pre-dinner drinks.
1800 Dinner.

Voting:

Voting will be done in person and also via Zoom. This will be explained at the start of the meeting.

In accordance with the Constitution you must be a current financial member to vote.

Proxy voting is allowed.
